Role overview

Independent Contractor | Approximately 25 Hours per Week

Location: Remote – Canada

Schedule: Approximately 25 hours per week, with required availability Monday–Friday from 9:00 a.m.–12:00 p.m. Pacific Time

Position Type: Independent Contractor

About the Role

We are seeking a highly organized and detail-oriented Securities & Corporate Paralegal to provide ongoing support to a corporate governance and securities consulting practice serving Canadian public companies. You will be working directly with the principle consultant at a firm dedicated to securities and corporate governance.

This is a hands-on role for someone who understands that in securities and corporate work, accuracy, deadlines, formatting, and exceptional file maintenance matter.

And we mean exceptional file maintenance.

This role is particularly well suited to someone who considers a clean, logical, beautifully organized filing system to be their jam. If you take an immense amount of pride in opening a complicated client file, figuring out what belongs where, triaging what needs attention, and leaving behind a system that is easier for everyone else to navigate — you will probably enjoy this work.

We aren't simply looking for someone who can complete a task. We want someone who creates organization as they work.

The position is approximately 25 hours per week and fully remote, with consistent weekday availability required from 9:00 a.m. to 12:00 p.m. Pacific Time, Monday through Friday. Remaining hours offer some scheduling flexibility.

This role may be particularly well suited to an experienced paralegal seeking reduced or flexible hours, a semi-retired securities or corporate professional, or a strong recent graduate looking to develop specialized experience in Canadian securities and public-company work.

Key Responsibilities

The successful candidate will assist with:

  • SEDAR+ and SEDI filings, including preparation, submission and maintenance of filing records
  • Preparation and formatting of corporate, securities and governance documents
  • Document review, proofreading and quality control
  • Preparing documents for signature and managing signature packages through DocuSign
  • PDF creation, editing, combining, redacting, organizing and manipulation using Adobe Acrobat
  • Maintaining exceptionally organized electronic client files in Microsoft OneDrive / Microsoft 365
  • Triaging existing files and documentation to identify missing, misplaced or outstanding items
  • Creating and maintaining logical folder structures, naming conventions and filing processes
  • Ensuring completed work is properly documented and filed as part of the workflow — not left for someone else to clean up later
  • Data entry and maintenance of corporate and securities information
  • Preparing and updating standard corporate documents, resolutions, forms, correspondence and reporting materials
  • Assisting with billing administration
  • Preparing and reconciling expense reports using QuickBooks
  • Tracking outstanding documents, signatures, filings and administrative requirements
  • Supporting deadline-driven client and regulatory work
  • General paralegal and administrative support as required

What We're Looking For

Required

  • Education, training or professional experience as a paralegal, legal assistant or similar legal professional
  • Familiarity with Canadian securities law and public-company regulatory requirements
  • Understanding of SEDAR+ and SEDI, with direct filing experience strongly preferred
  • Strong Microsoft Office skills, particularly Word, Outlook and OneDrive
  • Experience working with Adobe Acrobat/PDF documents
  • Excellent document formatting and proofreading skills
  • Exceptional attention to detail
  • Genuinely excellent organizational and file-management habits
  • Ability to look at a disorganized collection of information and determine how it should be structured
  • Ability to manage multiple deadlines and competing priorities
  • Ability to work independently and proactively in a fully remote environment
  • Consistent availability Monday through Friday from 9:00 a.m.–12:00 p.m. Pacific Time

Strong Assets

  • Previous experience supporting TSX, TSX Venture Exchange or CSE-listed companies
  • Experience with corporate governance, continuous disclosure or corporate secretarial work
  • Hands-on experience completing SEDAR+ and SEDI filings
  • Experience with DocuSign
  • Experience with QuickBooks
  • Communication -You can communicate in a clear, concise and direct manner
  • Experience maintaining corporate records, minute books or public-company documentation

You'll Probably Love This Role If...

You get an unreasonable amount of satisfaction from a filing system where everything is exactly where it belongs.

You notice the document called Final_Final_V3_USETHISONE.pdf and feel compelled to fix the underlying problem.

You naturally create order while you work. When you complete something, you don't just check the task off — you make sure the final document is named correctly, saved in the right location, supporting materials are together, outstanding items are identified, and the next person can immediately understand what happened.

You enjoy triaging, navigating and organizing information, particularly when you inherit a file or project that needs some attention.

And you take real pride in leaving systems cleaner, clearer and more functional than you found them.

Who May Be a Great Fit

We are open to candidates at different stages of their careers.

You may be an experienced securities paralegal who no longer wants a traditional full-time law firm schedule. You may be semi-retired and interested in continuing to use your expertise in a flexible remote environment. Or, you may be a newer paralegal or graduate with strong foundational knowledge who wants the opportunity to build meaningful experience in securities, governance and public-company work.

Regardless of career stage, we are looking for someone who takes pride in producing exceptionally accurate, polished work.

The right person notices when formatting is inconsistent, catches errors before someone else does, keeps files organized without being reminded, follows tasks through to completion, and understands that finishing the task includes leaving the file properly maintained.

Working Arrangement

  • Independent contractor position
  • Approximately 25 hours per week
  • Fully remote
  • Required core availability: 9:00 a.m.–12:00 p.m. Pacific Time, Monday–Friday
  • Some flexibility in scheduling remaining weekly hours
  • Ongoing position for the right candidate

How to Apply

Please submit your resume along with a brief introduction outlining:

  • Your experience with securities and/or corporate law
  • Your level of experience with SEDAR+ and SEDI
  • Any experience supporting Canadian public companies
  • Your availability for the required Monday–Friday core hours
  • Your desired hourly contractor rate

And one final question: Tell us about a filing system, document library or administrative process you've inherited that needed some love. What did you do to bring order to it?

We are particularly interested in candidates looking for a stable, long-term part-time opportunity who value accuracy, organization, ownership and excellent work.
